Terms of Service

These terms govern your use of Latch, operated by Yellow Pine (“we”, “us”). By using the service you agree to them. If you use Latch on behalf of an organization, you agree on its behalf.

What Latch is

Latch reads a public GitHub repository the way an AI coding agent would and returns scored, candid feedback. Scores and verdicts are automated opinions, not statements of fact about the quality, security, or fitness of any project, and not professional advice. They are generated by an AI model from a bounded snapshot and can be wrong or incomplete.

Your account

Some features require signing in with GitHub. You are responsible for activity under your account, for keeping your GitHub credentials secure, and for providing accurate information. One person or organization per account.

Acceptable use

  • Don’t scrape, probe, or attempt to overwhelm the service, or circumvent rate limits, bot protection, or quotas.
  • Don’t resell, redistribute, or expose the paid depth (full reports, fixes) to people who haven’t paid for it.
  • Don’t use Latch to harass a project or its maintainers, or for anything unlawful.
  • Don’t attempt to reverse-engineer, copy, or resell the product itself.

Analyses and content

Latch analyzes public repositories; their code remains the property of its owners. The reports we generate, the rubric, the brand, and the product are ours (see “Intellectual property”). Result pages are public and shareable. If you own a repository and want its analysis removed, email us and we’ll take it down.

Plans, billing, and cancellation

  • Latch is freemium. The score, verdict, public page, and badge are free. Paid options are a one-off “unlock full report” and the Plus, Pro, and Business subscriptions.
  • Purchases are bound to your account. Payments are handled by Stripe; by purchasing you also agree to Stripe’s terms. Prices are shown at checkout and may be stated exclusive of taxes, which are added where applicable.
  • Subscriptions renew automatically each period until cancelled. You can cancel anytime from your account; access continues until the end of the paid period. Per-plan monthly usage quotas apply.
  • We may change prices or plans with reasonable notice; changes don’t affect the period you’ve already paid for.

Refunds

If something doesn’t work as described, contact us and we’ll make it right, including a refund of a recent charge where fair. Statutory withdrawal/refund rights (e.g. for consumers in the EU/UK) are unaffected by this section.

Business automation

The Business tier can open issues and pull requests on a repository — but only after the repository’s owner installs the Latch GitHub App on that repo. Installing is the opt-in; uninstalling revokes it. Latch never merges, closes, or edits beyond what it opened, and every item it files is clearly attributed.

Intellectual property

Latch, the Latch name and marks, the rubric, and the software are owned by Yellow Pine. These terms don’t grant you any right to them beyond using the service as intended.

Disclaimers & limitation of liability

Latch is provided “as is” and “as available”, without warranties of any kind, including that scores are accurate or that the service will be uninterrupted or error-free. To the fullest extent permitted by law, Yellow Pine will not be liable for indirect, incidental, or consequential damages, and our total liability for any claim is limited to the greater of the amount you paid us in the 12 months before the claim or EUR 100. Nothing here limits liability that cannot be limited by law.

Termination

You may stop using Latch at any time. We may suspend or terminate access for breach of these terms or to protect the service. Sections that by their nature should survive (intellectual property, disclaimers, liability) survive termination.

Governing law

These terms are governed by the laws of [Yellow Pine’s jurisdiction], without regard to conflict-of-laws rules, and the courts there have exclusive jurisdiction, except where mandatory consumer-protection law gives you the right to your local courts.
